1. Acceptance of Terms

By accessing or using Wire by KOVA ("Wire", "the platform", "the service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the platform. We reserve the right to update these terms at any time. Continued use of the platform after any changes constitutes your acceptance of the updated terms.

2. Description of Service

Wire is a private information platform that provides market intelligence, news alerts, and macro analysis to its members. The platform is intended for informational and educational purposes only. Access to Wire requires an active membership or subscription as determined by KOVA.

3. Eligibility

You must be at least 18 years of age to use this platform. By using Wire, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into these terms. Access to the platform is restricted to verified members only.

4. Subscriptions and Access

Access to Wire is granted based on active membership. KOVA reserves the right to modify, suspend, or terminate access at any time for any reason, including but not limited to violation of these terms, non-payment, or abuse of the platform. Subscription fees, if applicable, are non-refundable unless otherwise stated.

5. Not Financial Advice

All content provided through Wire is for informational and educational purposes only. Nothing on this platform constitutes financial advice, investment advice, or trading recommendations. You acknowledge that you have read and agree to our separate Legal Disclaimer regarding the non-advisory nature of this service.

6. AI Disclosure

Wire uses artificial intelligence and automated systems to read, classify, and summarize news and market data, and to generate the alerts, signals, confidence scores, and analysis shown on the platform. In the interest of transparency and consistent with U.S. Federal Trade Commission guidance on the use of AI, you acknowledge and agree that:

• Content on the platform is generated or assisted by automated AI models, not produced or reviewed by licensed human financial advisors.
• AI systems can be wrong. They may misclassify a headline or produce inaccurate, incomplete, delayed, out-of-context, or fabricated ("hallucinated") output. All outputs are probabilistic estimates, not statements of fact.
• Any confidence scores, accuracy figures, win rates, or performance results reflect past, estimated, or modeled outcomes only and are not promises or guarantees of future results.
• You are responsible for independently verifying any information before acting on it, and should never rely solely on an automated output.

7. Prohibited Conduct

You agree not to:

• Share, redistribute, or resell any content or signals from Wire to third parties
• Screenshot, copy, or distribute platform content publicly
• Attempt to reverse engineer, scrape, or access the platform through automated means
• Use the platform for any unlawful purpose
• Share your account credentials with any other person
• Impersonate any person or entity

8. Intellectual Property

All content on Wire, including but not limited to signals, analysis, design, text, and graphics, is the property of KOVA and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this platform without express written permission from KOVA.

9. Limitation of Liability

To the fullest extent permitted by applicable law, KOVA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or financial losses arising out of or in connection with your use of the platform. Our total liability to you for any claim arising from use of Wire shall not exceed the amount paid by you for access to the service in the three months preceding the claim.

10. Disclaimer of Warranties

Wire is provided "as is" and "as available" without warranties of any kind, either express or implied. KOVA does not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any content provided on the platform.

11. Termination

KOVA reserves the right to suspend or terminate your access to Wire at any time, with or without notice, for any reason including violation of these terms. Upon termination, your right to access the platform ceases immediately.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these terms shall be resolved as set out in Section 13 (Dispute Resolution and Arbitration) below.

13. Dispute Resolution and Arbitration

Any dispute that cannot be resolved informally shall be settled by binding arbitration rather than in court, under the following standard ICC arbitration clause:

"All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules."
